PREAMBLE

These Terms and Conditions ("Terms," "Agreement," or "Terms of Service") constitute a legally binding agreement between you ("User," "you," "your," or "Member") and Speech Publications Pvt Ltd, a private limited company duly incorporated and registered under the Companies Act, 2013, having its registered office at C/o Chandrabhan Prajapati, Dudhnara Gayaspur Azamgarh, Sadar Azamgarh, Uttar Pradesh, 276135, India ("Company," "we," "us," or "our").

This Agreement governs your access to and use of the mobile application and website known as "Vichaar Vaani" (hereinafter referred to as the "Platform"), including all features, functionalities, content, and services offered through the Platform.

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ACCESSING OR USING THE PLATFORM. BY ACCESSING, BROWSING, REGISTERING ON, OR USING THE PLATFORM IN ANY MANNER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY DISCONTINUE USE OF THE PLATFORM.

1. DEFINITIONS AND INTERPRETATION

For the purposes of this Agreement, the following terms shall have the meanings ascribed to them below, unless the context otherwise requires:

"Account" means the registered user account created by you on the Platform, which enables you to access and utilize the features and services offered by the Platform.

"Content" means any text, images, photographs, videos, audio files, literary works, poetry, Shayari, Kavita, quotes, comments, messages, and any other material or information that is uploaded, posted, submitted, transmitted, or otherwise made available on or through the Platform.

"User Content" means any Content that is created, uploaded, posted, or shared by Users on the Platform, including but not limited to literary works, poems, Shayaris, videos, images, profile information, and comments.

"Literary Content" means Content that is of a literary, educational, cultural, or artistic nature, including poetry (Kavita), Shayari, Gazals, Nazms, prose, quotes, and video performances featuring literary recitations and artistic expressions.

"Prohibited Content" means any Content that violates these Terms, Community Guidelines, or applicable laws, including but not limited to vulgar, obscene, defamatory, hateful, or harmful content as further defined in Section 7 of this Agreement.

"Services" means all features, functionalities, tools, and services offered through the Platform, including content creation, sharing, social networking, and any other services provided by the Company.

"Intellectual Property" means all patents, copyrights, trademarks, trade secrets, designs, logos, and any other proprietary rights recognized under applicable laws.

"Third-Party Services" means websites, applications, services, or content provided by entities other than the Company that may be accessed through or linked from the Platform.

2. ACCEPTANCE OF TERMS

2.1 Binding Agreement

By accessing or using the Platform, you represent and warrant that you have the legal capacity to enter into this binding Agreement. Your continued use of the Platform constitutes your ongoing acceptance of these Terms as they may be amended from time to time.

2.2 Modifications to Terms

The Company reserves the right to modify, amend, supplement, or replace these Terms at any time at its sole discretion. Any changes to these Terms will be effective immediately upon posting on the Platform. We will make reasonable efforts to notify users of material changes through the Platform interface, email notification, or push notification. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of such changes.

2.3 Additional Terms

Certain features or services offered on or through the Platform may be subject to additional terms, conditions, or guidelines ("Additional Terms"). Such Additional Terms are incorporated by reference into these Terms. In the event of any conflict between these Terms and any Additional Terms, the Additional Terms shall prevail with respect to the specific feature or service to which they apply.

3. ELIGIBILITY REQUIREMENTS

3.1 Age Requirement

The Platform is intended for users who are at least thirteen (13) years of age. By using the Platform, you represent and warrant that you are at least 13 years old. If you are under 18 years of age, you represent that you have obtained the consent of your parent or legal guardian to use the Platform and agree to these Terms.

3.2 Legal Capacity

You represent and warrant that you have the legal capacity and authority to enter into this Agreement and to comply with all of its terms. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3.3 Territorial Restrictions

The Platform is primarily designed for users in India. If you access the Platform from outside India, you are responsible for compliance with local laws and regulations. The Company makes no representation that the Platform or its content is appropriate or available for use in locations outside India.

4. ACCOUNT REGISTRATION AND SECURITY

4.1 Account Creation

To access certain features of the Platform, you must create an Account by providing accurate, current, and complete information as prompted during the registration process. You may register using your mobile number with OTP verification or email address with OTP verification.

4.2 Account Information Accuracy

You agree to provide true, accurate, current, and complete information about yourself as requested during registration ("Registration Data") and to maintain and promptly update the Registration Data to keep it accurate and current. Providing false, misleading, or outdated information may result in suspension or termination of your Account.

4.3 Account Security

You are solely responsible for maintaining the confidentiality and security of your Account credentials, including your password and OTP. You agree to:

Not share your Account credentials with any third party
Immediately notify the Company of any unauthorized access or use of your Account
Log out of your Account at the end of each session, especially on shared devices
Accept responsibility for all activities that occur under your Account

4.4 One Account Policy

Each user is permitted to maintain only one active Account on the Platform. Creating multiple accounts, impersonating others, or using false identities is strictly prohibited and may result in immediate termination of all associated accounts.

5. PLATFORM DESCRIPTION AND SERVICES

5.1 About Vichaar Vaani

Vichaar Vaani is a premier literary social media platform dedicated to promoting and preserving Indian literary heritage and culture. The Platform provides a digital ecosystem where literature enthusiasts, poets, writers, and connoisseurs of Sahityik (literary) content can create, share, discover, and appreciate various forms of literary expressions.

5.2 Core Features and Services

The Platform offers the following features and services:

User profile creation and customization
Publishing and sharing of literary content including Shayari, Kavita, Gazals, and Nazms
Video content featuring literary performances and recitations
Social networking features including following, liking, commenting, and sharing
Content discovery and personalized recommendations
Notification services for updates and interactions

5.3 Platform Availability

The Platform is currently available on Android mobile application and Web browser. The Company reserves the right to expand, modify, or discontinue any features or services at any time without prior notice.

6. USER CONTENT AND CONDUCT

6.1 Content Guidelines

Vichaar Vaani is exclusively dedicated to literary, educational, cultural, and knowledge-based content. Users are required to share only content that positively contributes to society and does not have any harmful or negative impact on the community. Acceptable content includes:

Original poetry (Kavita) in any language
Shayari, Gazals, Nazms, and other forms of Urdu poetry
Inspirational and motivational quotes
Educational and knowledge-sharing content
Literary analysis and discussions
Video performances of literary recitations
Cultural and artistic expressions that promote positive values

6.2 User Responsibilities

As a user of the Platform, you agree to:

Post only content that is original or for which you have obtained proper authorization
Respect the intellectual property rights of others
Engage respectfully with other users and their content
Report any content that violates these Terms or Community Guidelines
Comply with all applicable laws and regulations
Use the Platform only for lawful and legitimate purposes

6.3 Content Moderation

The Company reserves the right, but is not obligated, to review, monitor, edit, or remove any User Content at its sole discretion. Content moderation may be performed through automated systems, manual review, or a combination of both. The Company is not responsible for pre-screening User Content and makes no guarantee regarding the accuracy, quality, or appropriateness of any User Content.

7. PROHIBITED CONTENT AND ACTIVITIES

The following content and activities are strictly prohibited on the Platform. Violation of these prohibitions may result in immediate removal of content, suspension of account, permanent termination of account, and/or legal action:

7.1 Prohibited Content

Users shall not upload, post, transmit, or share any content that:

Is vulgar, obscene, pornographic, sexually explicit, or contains nudity
Promotes or incites hatred, discrimination, or violence against any individual or group based on race, ethnicity, religion, gender, sexual orientation, disability, or any other characteristic
Contains hate speech, communal content, or content that promotes religious or social disharmony
Is defamatory, libelous, or infringes upon the reputation, privacy, or dignity of any person
Infringes upon the intellectual property rights, copyrights, trademarks, or other proprietary rights of any third party
Promotes illegal activities, violence, terrorism, or criminal behavior
Contains threats, harassment, bullying, or intimidation towards any individual
Is misleading, false, or designed to deceive or defraud other users
Promotes self-harm, suicide, or dangerous activities
Contains malware, viruses, or any harmful code
Exploits or endangers minors in any way
Violates any applicable local, state, national, or international law

7.2 Prohibited Activities

Users shall not engage in the following activities:

Spamming, including posting repetitive content, unsolicited advertisements, or promotional material
Creating fake profiles or impersonating any person or entity
Using bots, scripts, or automated tools to access or interact with the Platform
Attempting to gain unauthorized access to the Platform, other user accounts, or our systems
Interfering with or disrupting the Platform's functionality or servers
Scraping, data mining, or harvesting user information without authorization
Circumventing or attempting to circumvent any security measures
Manipulating engagement metrics through artificial means
Any activity that negatively impacts other users' experience on the Platform

7.3 Consequences of Violations

The Company reserves the right to take appropriate action against users who violate these prohibitions, including but not limited to:

Issuance of warnings and notices
Removal or deletion of the offending content
Temporary suspension of the user's Account
Permanent termination and deletion of the user's Account
Reporting to law enforcement authorities where appropriate
Pursuing legal action for damages or injunctive relief

8. INTELLECTUAL PROPERTY RIGHTS

8.1 Company's Intellectual Property

The Platform, including its design, layout, graphics, logos, icons, images, text, software, source code, and all other elements (collectively, "Company IP"), are the exclusive property of Speech Publications Pvt Ltd and are protected by applicable intellectual property laws. The Company name, "Vichaar Vaani" name, logo, and all related names, designs, and slogans are trademarks of the Company.

Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms. This license does not include any right to:

Modify, copy, reproduce, or create derivative works of the Company IP
Reverse engineer, decompile, or disassemble any software or technology used in the Platform
Use Company IP for commercial purposes without prior written consent
Remove or alter any copyright, trademark, or proprietary notices

8.2 User Content Ownership

YOU RETAIN FULL OWNERSHIP OF YOUR CONTENT. The Company does not claim ownership of any User Content that you create, upload, or share on the Platform. All intellectual property rights in your original literary works, poetry, Shayari, images, videos, and other creative content remain exclusively with you.

8.3 License Grant to Company

By posting, uploading, or sharing User Content on the Platform, you grant the Company a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and perform your User Content solely for the following purposes:

Operating and providing the Platform services
Displaying your content to other users on the Platform
Promoting the Platform and its features
Improving and developing new features and services
Complying with legal requirements

This license terminates when you delete your User Content from the Platform or when your Account is terminated, except for content that has been shared by other users or is required to be retained for legal purposes.

8.4 User Representations and Warranties

By submitting User Content, you represent and warrant that:

You are the creator and owner of the content, or have obtained all necessary rights and permissions
Your content does not infringe upon the intellectual property rights of any third party
You have the right to grant the license described in Section 8.3
Your content complies with all applicable laws and these Terms

8.5 Copyright Infringement

The Company respects the intellectual property rights of others. If you believe that your copyrighted work has been copied or used in a manner that constitutes copyright infringement, please notify us at speechpublications@gmail.com with the following information:

Description of the copyrighted work that you claim has been infringed
Location of the allegedly infringing material on the Platform
Your contact information
A statement that you have a good faith belief that the use is not authorized
A statement under penalty of perjury that the information is accurate

9. ACCOUNT SUSPENSION AND TERMINATION

9.1 Termination by User

You may terminate your Account at any time by using the account deletion feature within the app settings or by contacting us at speechpublications@gmail.com . Upon termination, your right to use the Platform will immediately cease, and your User Content may be deleted in accordance with our data retention policies.

9.2 Suspension and Termination by Company

The Company reserves the right to suspend or terminate your Account, without prior notice or liability, for any reason whatsoever, including but not limited to:

Posting, uploading, or sharing vulgar, obscene, or pornographic content
Engaging in hate speech or promoting communal disharmony
Spamming or engaging in unsolicited promotional activities
Harassing, threatening, or bullying other users
Infringing upon intellectual property rights
Creating fake accounts or impersonating others
Violating any provision of these Terms
Engaging in any illegal or fraudulent activity
Any conduct that the Company, in its sole discretion, considers harmful to the Platform or its community

9.3 Effect of Termination

Upon termination of your Account:

Your right to access and use the Platform will immediately cease
Your User Content may be deleted or retained at the Company's discretion
You will remain liable for any outstanding obligations
Provisions of these Terms that by their nature should survive termination shall remain in effect

10. DISCLAIMERS AND LIMITATION OF WARRANTIES

10.1 Platform Provided "As Is"

THE PLATFORM AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

10.2 No Guarantee of Availability

The Company does not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not guarantee that any errors or defects will be corrected, or that the Platform will meet your specific requirements or expectations.

10.3 User Content Disclaimer

The Company is not responsible for the accuracy, completeness, appropriateness, or legality of any User Content. The views expressed in User Content are those of the individual users and do not necessarily reflect the views of the Company. Users access and rely on User Content at their own risk.

10.4 Third-Party Services Disclaimer

The Platform may contain links to third-party websites, services, or content. The Company has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. Your interactions with third parties are solely between you and such third parties.

11. LIMITATION OF LIABILITY

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

Your use of or inability to use the Platform
Any conduct or content of any third party on the Platform
Any content obtained from the Platform
Unauthorized access, use, or alteration of your transmissions or content
Any other matter relating to the Platform

11.2 Cap on Liability

IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED ONE HUNDRED INDIAN RUPEES (₹100).

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the Company, its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

Your use of the Platform
Your User Content
Your violation of these Terms
Your violation of any rights of another party
Your violation of any applicable law or regulation

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms shall be subject to the laws applicable in India.

13.2 Jurisdiction

You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the competent courts located in Azamgarh or Lucknow, Uttar Pradesh, India. You hereby consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.

13.3 Informal Resolution

Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at speechpublications@gmail.com. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within thirty (30) days of submission, either party may proceed with formal legal proceedings.

14. GENERAL PROVISIONS

14.1 Entire Agreement

These Terms, together with the Privacy Policy and any Additional Terms, constitute the entire agreement between you and the Company regarding the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

14.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

14.3 Waiver

The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of the Company.

14.4 Assignment

You may not assign, transfer, or sublicense your rights or obligations under these Terms without the prior written consent of the Company. The Company may assign its rights and obligations under these Terms to any third party without notice to you.

14.5 Force Majeure

The Company shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, pandemics, government actions, power failures, or internet outages.

14.6 Notices

All notices to you may be provided through the Platform interface, to the email address associated with your Account, or by any other means the Company deems appropriate. Notices to the Company should be sent to the contact information provided in Section 15.

14.7 Relationship of Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and the Company. You have no authority to bind the Company in any manner whatsoever.

16. GRIEVANCE REDRESSAL MECHANISM

In accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, we have designated a Grievance Officer to address any complaints or concerns regarding content on the Platform or violation of these Terms.

Response Time: The Grievance Officer shall acknowledge receipt of your complaint within 24 hours and shall resolve the same within 15 days from the date of receipt, or within such extended period as may be reasonable given the nature of the complaint, but not exceeding 30 days.

17. ACKNOWLEDGMENT AND ACCEPTANCE

BY ACCESSING, REGISTERING ON, OR USING THE VICHAAR VAANI PLATFORM, YOU ACKNOWLEDGE THAT:

You have read and understood these Terms and Conditions in their entirety
You voluntarily agree to be bound by all the terms, conditions, and provisions set forth herein
You meet all eligibility requirements to use the Platform
You understand the consequences of violating these Terms
You accept the limitations of liability and disclaimers contained herein

18. AUTHORIZATION AND EXECUTION

These Terms and Conditions have been duly reviewed, approved, and authorized for publication by the competent authority of Speech Publications Pvt Ltd. This document represents the official terms governing the use of the Vichaar Vaani Platform and is legally binding upon all users.

IN WITNESS WHEREOF, the authorized representative of the Company has executed these Terms and Conditions as of the Effective Date stated above.
